Job Overview
The Corporate Paralegal position, based in Shelton, CT, or Herndon,
VA, will report to a senior member of the Legal Department and will
support a variety of general corporate matters, including SEC and
NYSE compliance, stock administration processes, insider trading
compliance, Board portal management and processes and other duties.
We are seeking a self-motivated individual with initiative and
strong attention to detail who is highly organized and can
multi-task competing priorities. This individual must be an ethical
and compliance-oriented team player who can work with legal and
business partners at all levels across the Hubbell enterprise.

A Day In The Life
Assist with preparing and filing disclosure and other documents
with the SEC and NYSE
Support the management of 1933 Act and 1934 Act compliance, reports
and filings (including Form 3s, 4s, 8-Ks, 10-Qs, 10-Ks, SDs and
proxy material)
Manage processes related to equity compensation for Section 16
officers, including preparing and filing stock grant records,
tracking holdings and transactions, and managing reporting and
communications with the Company's transfer agent and stock plan
administrator
Assist with management of director compensation processes,
including retainer payments, dividends, share calculations and
related communications
Work with a team to administer the Company's insider trading
compliance program
Assist with the preparation, organization and maintenance of Board
and Board Committee materials and presentations, director
onboarding, Board calendars and communications
Utilize and master the Company's electronic Board portal system for
all Board materials and supporting documents
Assist with management of various legal claim file recordkeeping
and reporting
Assist with maintenance of special project data rooms and
diligence
Assist with the Company's policy documentation review, approval and
maintenance processes
Assist with various complex and sensitive projects, as required
Provide paralegal support to the broader Legal group as needed
Perform other related duties and ad hoc projects as required
What will help you thrive in this role?
Minimum 3 years of experience in stock administration and SEC
compliance for a public company
Minimum 3 years of experience handling general corporate legal
matters in-house for a public company
Significant experience with Fidelity Stock Plan Services,
Computershare Issuer Online or similar stock and shareholder
systems required
High degree of proficiency with electronic board portals, Excel and
PowerPoint required
Proficiency with SharePoint, DocuSign, risk management information
systems and databases
Excellent interpersonal and communication skills
Strong work ethic and a sense of professionalism, demonstrating
accountability and integrity
Displays commitment to excellence and attention to detail
Exceptional judgment and the ability to handle highly confidential
information with discretion
Strong organizational, problem-solving and project management
skills
Ability to work independently, applying initiative and judgment,
and as part of a team
Prioritizes competing demands appropriately to meet deadlines
Ability to adapt and be flexible to changing priorities in a
fast-moving environment
Willingness and ability to learn new software tools and processes
and implement change
Connecticut Notary Public or willing to obtain certification
Bachelor's Degree in Business, Finance, Accounting or related field
of study preferred
